1. Company information

This website is operated by Primeaxis Services Inc, a Wyoming corporation with a principal business address at 30 N Gould St Ste R, Sheridan, Wyoming 82801, United States. Contact: contact@pasvs.com.

2. Acceptance

By using this website, submitting an enquiry, purchasing a service or entering into an engagement with us, you agree to these Terms to the extent applicable. If you act for a company or organisation, you confirm that you are authorised to act for it.

3. Services

Primeaxis provides professional services that may include e-commerce and marketplace operations, paid media support, brand and content services, logistics coordination, account-health support, automation, dashboards, lead generation and consulting. The exact scope, deliverables, schedule and responsibilities for paid work are set out in a written proposal, statement of work, order form, invoice or agreement.

No physical goods are sold or shipped through this website.

4. Proposals and commencement

A website enquiry does not create a service contract. An engagement begins only when the applicable commercial terms are accepted and any required initial payment is received. Unless otherwise stated, proposals may be withdrawn or revised before acceptance.

5. No guarantee of commercial outcomes

We will perform agreed services with reasonable care and skill. We do not guarantee revenue, profit, advertising performance, platform ranking, account reinstatement, uninterrupted platform access or any other specific commercial outcome. Results depend on factors outside our control, including product quality, pricing, budgets, competition, market conditions, platform decisions and information supplied by the client.

6. Client responsibilities

The client must provide accurate information, timely decisions, authorised access and materials reasonably required for the engagement. The client remains responsible for the legality, quality and safety of its products, claims, offers, data, content and business activities, and for maintaining required accounts, licences and approvals.

7. Fees, invoices and taxes

Fees, billing schedules, currencies and payment methods are stated in the applicable proposal, invoice or agreement. Payments may be processed through Stripe, PayPal, bank transfer or another disclosed provider. Unless otherwise stated in writing, invoices are due by the date shown on the invoice.

The client is responsible for applicable taxes, bank charges, currency-conversion charges and third-party platform fees, except taxes imposed on Primeaxis's net income. We may pause work on overdue accounts after reasonable notice.

8. Refunds and cancellations

Refund and cancellation terms are described in our Refund & Cancellation Policy and in any engagement-specific agreement. Where the two differ, the signed or expressly accepted engagement-specific terms control.

9. Confidentiality

Each party will use reasonable care to protect confidential information received from the other and will use it only for the engagement, except where disclosure is authorised, required to perform the services, already lawfully known or required by law.

10. Intellectual property

Each party retains ownership of materials it owned before the engagement. Unless a written agreement states otherwise, Primeaxis retains its general know-how, methods, templates, tools, systems and reusable materials. Client-specific deliverables may be used by the client after full payment, subject to any third-party rights and the applicable agreement.

11. Third-party platforms and providers

Our work may involve third-party services such as Amazon, Shopify, Walmart, Etsy, TikTok, Meta, Google, payment processors, logistics providers and software vendors. We do not control their availability, policies, decisions, suspensions, data or technical performance and are not responsible for their independent acts or omissions.

12. Acceptable use and restricted activities

You may not use our website or services for unlawful, deceptive, abusive or harmful activities; infringement of third-party rights; unauthorised access; fraud; prohibited goods or services; evasion of platform rules; or conduct that creates unreasonable legal, security or reputational risk. We may decline or terminate work involving such activity.

13. Suspension and termination

Either party may terminate an engagement as provided in the applicable agreement. We may suspend or terminate services for material breach, non-payment, unlawful activity, security risk, abusive conduct or failure to provide required cooperation, subject to any notice obligations in the applicable agreement.

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, punitive or consequential losses, or for lost profits, revenue, opportunities, goodwill or data, arising from the website or services. Unless a written agreement states otherwise, Primeaxis's total aggregate liability relating to an engagement will not exceed the fees actually paid to Primeaxis for the affected services during the six months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

15. Indemnity

To the extent permitted by law, the client will defend and indemnify Primeaxis against third-party claims arising from the client's products, unlawful instructions, supplied content, infringement, fraud or breach of applicable law or platform rules, except to the extent caused by Primeaxis's own unlawful conduct.

16. Governing law and disputes

Unless an engagement-specific agreement states otherwise, these Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. The state and federal courts with jurisdiction in Wyoming will have exclusive jurisdiction, except where mandatory consumer law requires otherwise.

17. Changes

We may update these website Terms from time to time. The revised date at the top identifies the current version. Changes do not retroactively alter a signed agreement unless the parties agree in writing.
